Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NexGate platform, API, and website (collectively, the "Service"), operated by NexGate ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Service. By using the Service, you represent that:

• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• If using on behalf of an organization, you have authority to bind that organization

2. Account Registration

You must create an account to access the API. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately at support@nexgate.app if you suspect unauthorized access
• Not share your account with others or create accounts for the purpose of circumventing limits

You are responsible for all activity that occurs under your account.

3. API Keys

• You may generate multiple API keys from your dashboard
• Keys are stored as one-way hashes; if lost, you must generate a new key
• You may revoke any key at any time from the dashboard
• Keys inherit the spend limits you configure; set limits before sharing with automated systems

4. Credits and Billing

4.1 Prepaid Credits

The Service operates on a prepaid credit model:

• Credits are purchased in advance and deducted per request based on actual token usage
• Credits are denominated in USD at a 1:1 ratio (1 credit = $1 USD)
• Credits do not expire

4.2 Credit Packs

Credit packs are purchased via DodoPayments. All purchases are:

• Final and non-refundable once credits have been applied to your account, except as required by applicable law or at our sole discretion
• Processed in USD; your payment provider may apply currency conversion fees
• Subject to applicable taxes based on your billing country

4.3 Free Credits

New accounts may receive promotional credits at our discretion. Promotional credits:

• May expire or be subject to usage restrictions
• Cannot be transferred, exchanged for cash, or used to purchase additional credits
• May be revoked if your account is found to be in violation of these Terms

4.4 Spend Limits

You may set per-key hourly spend limits in your dashboard. These limits are enforced on a best-effort basis; actual spend may slightly exceed the configured limit due to in-flight requests. NexGate is not liable for overages resulting from limit enforcement delays.

5. Acceptable Use

5.1 Permitted Use

You may use the Service to:

• Build, test, and deploy applications that consume AI model outputs
• Integrate AI capabilities into your own products and services
• Evaluate model performance for research or development purposes

6. Intellectual Property

6.1 NexGate IP

The Service, including its code, design, documentation, and trademarks, is owned by NexGate and protected by intellectual property laws. Nothing in these Terms grants you any right to use NexGate's trademarks or branding.

6.2 Your Content

You retain all ownership rights to the prompts and other content you submit. By submitting content, you grant NexGate a limited, non-exclusive license to transmit that content to the applicable upstream provider solely to fulfill your API request.

6.3 Output

Ownership of AI-generated outputs is governed by the terms of the upstream model provider. Consult each provider's terms to understand rights to generated content.

7. Disclaimers

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI model outputs will be accurate, complete, or suitable for any purpose
• Any upstream provider will remain available or maintain its current pricing

8. Limitation of Liability

To the maximum extent permitted by law, NexGate shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business, or goodwill
• Damages arising from your reliance on AI-generated content
• Service interruptions caused by third-party providers

In any event, NexGate's total liability to you shall not exceed the amount of credits you have purchased in the 30 days prior to the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless NexGate and its officers, directors, and employees from any claim, liability, damage, or expense (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Content you submit through the Service

10. Termination

10.1 By You

You may close your account at any time from your dashboard settings. Unused credits are non-refundable upon voluntary account closure, except where required by law.

10.2 By NexGate

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay amounts owed
• Engage in activity that poses a security risk to NexGate or other users

Upon termination, your right to access the Service ceases immediately. Sections 6, 7, 8, 9, and 11 survive termination.

11. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Updating the "Last updated" date at the top of this page
• Sending an email to your registered address at least 14 days before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
